Terms of Service

This Terms of Service (hereinafter referred to as the “Agreement”) stipulates the terms and conditions for the use of the online shop service (hereinafter referred to as the “Service”) provided by Sari-Sari Japan (hereinafter referred to as the “Site”) on this website. Users (hereinafter referred to as “Users”) are requested to use the Service in accordance with this Agreement.

Article 1 (Application)

This Agreement applies to all relationships related to the use of the Service between the User and the Site. The Site may establish various regulations (hereinafter referred to as “Individual Provisions”), such as rules for using the Service, in addition to this Agreement. Regardless of the name of these individual provisions, they constitute a part of this Agreement. In the event of a conflict between the provisions of this Agreement and the individual provisions of the preceding paragraph, unless otherwise specified in the individual provisions, the provisions of the individual provisions shall take precedence.

Article 2 (User Registration)

To use the Service, the applicant must agree to this Agreement and apply for user registration in the manner specified by the Site. The completion of user registration will be notified to the applicant by the Site’s approval of the application. The Site may not approve the application for user registration if the Site determines that the applicant falls under any of the following reasons, and the Site shall not be obligated to disclose the reasons.
– If false information is provided when applying for user registration
– If the applicant has violated this Agreement in the past
– In other cases where the Site deems the application for user registration is inappropriate

Article 3 (Management of User ID and Password)

Users are responsible for managing their user ID and password for the Service at their own risk. Under no circumstances may Users transfer, lend, or share their user ID and password with a third party. If the combination of a user ID and password matches the registered information and is logged in, the Site will consider it as use by the user who registered that user ID. The Site shall not be responsible for any damages caused by the use of a user ID and password by a third party unless there is intentional or gross negligence on the part of the Site.

Article 4 (Sales Agreement)

In the Service, a sales agreement is established when a user applies for a purchase to the Site, and the Site notifies the user that the application has been accepted. Ownership of the product shall transfer to the user when the Site delivers the product to the delivery agent. The Site may cancel the sales agreement without prior notice to the user in the following cases:
– The user has violated this Agreement
– Delivery of the product is not completed due to an unknown delivery destination or prolonged absence
– The Site determines that the trust relationship between the Site and the user has been compromised

Payment methods, delivery methods, cancellation methods for purchase applications, and return methods for the Service will be determined separately by the Site.

Article 5 (Intellectual Property Rights)

The copyright and other intellectual property rights of the content provided by the Service, including product photos and other content (hereinafter referred to as “Content”), belong to legitimate rights holders such as the Site and content providers. Users may not replicate, reprint, modify, or otherwise use Content without permission.

Article 6 (Prohibited Acts)

Users are prohibited from engaging in the following acts when using the Service:
– Acts that violate laws or public order and morals
– Acts related to criminal activities
– Acts that infringe on copyrights, trademark rights, or other intellectual property rights included in the Service
– Acts that destroy or interfere with the functionality of the Site’s servers or networks
– Commercial use of information obtained through the Service
– Acts that may interfere with the operation of the Site’s services
– Unauthorized access or attempts to do so
– Collection or accumulation of personal information about other users
– Impersonation of other users
– Acts that directly or indirectly provide benefits to antisocial forces in connection with the Site’s services
– Other acts that the Site deems inappropriate

Article 7 (Suspension of Service Provision, etc.)

The Site may suspend or interrupt all or part of the Service without prior notice to the user if it determines that any of the following reasons exist:
– Maintenance or updates of the computer system for the Service
– Difficulties in providing the Service due to force majeure, such as earthquakes, lightning, fires, power outages, or natural disasters
– Accidents causing the Site’s servers or communication lines to stop
– Other reasons where the Site deems the provision of the Service to be difficult

The Site shall not be liable for any disadvantages or damages incurred by the user or a third party due to the suspension or interruption of the provision of the Service.

Article 8 (Restriction of Use and Deletion of Registration)

The Site may, without prior notice, restrict the use of all or part of the Service or delete the registration of the user if any of the following reasons apply

– Violation of any provision of this Agreement
– Discovery of false facts in the registered information
– The credit card provided by the user for payment has been suspended
– Non-performance of payment obligations such as fees
– No response to contact from the Site for a certain period
– No use of the Service for a certain period since the last use

The Site shall not be liable for any damages caused to the user by the actions taken by the Site based on this article.

Article 9 (Withdrawal)

Users may withdraw from the Service by following the prescribed withdrawal procedure.

Article 10 (Disclaimer and Disclaimer of Warranty)

The Site does not guarantee that the Service is free from defects, whether factual or legal (including safety, reliability, accuracy, completeness, effectiveness, suitability for a particular purpose, security defects, errors, bugs, infringements of rights, etc.).

The Site shall not be liable for any damages caused to users by the Service. However, if the contract between the Site and the user regarding the Service (including this Agreement) becomes a consumer contract under the Consumer Contract Act, this disclaimer provision does not apply. Even in this case, the Site shall not be liable for damages caused to the user by the Site’s negligence (excluding gross negligence) in the event of non-performance of obligations or torts.

The Site shall not be responsible for transactions, contacts, or disputes between users or between users and third parties arising from the Service.

Article 11 (Change of Service Content, etc.)

The Site may change the content of the Service or suspend the provision of the Service in whole or in part without notifying users. The Site shall not be liable for any damages caused to users by such changes.

Article 12 (Changes to the Terms of Use)

The Site may change this Agreement at any time without notifying users if deemed necessary. After the change of this Agreement, if the user starts using the Service, the user will be deemed to have agreed to the amended terms.

Article 13 (Handling of Personal Information)

The Site will handle personal information obtained through the use of the Service appropriately in accordance with the Site’s “Privacy Policy.”

Article 14 (Notification or Contact)

Notifications or contacts between users and the Site shall be made by the method specified by the Site. The Site will consider the currently registered contact information as valid unless the user provides a change notice according to the method separately specified by the Site, and notifications or contacts made to such contact information shall be deemed to have reached the user at the time of transmission.

Article 15 (Prohibition of Assignment of Rights and Obligations)

Users may not assign or pledge the status under the usage agreement or the rights or obligations based on this Agreement to a third party without the prior written consent of the Site.

Article 16 (Governing Law and Jurisdiction)

This Agreement shall be governed by Japanese law. However, with regard to the Service, the application of the United Nations Convention on Contracts for the International Sale of Goods shall be excluded.
In the event of a dispute arising from the Service, the court with jurisdiction over the location of the Site’s head office shall be the exclusive agreement jurisdictional court between the Site and the user.
